1. Name

The name of this association is Rosewood Farm & Fragrance Private Membership Association (PMA).

2. Purpose

The PMA fosters a private, member-based community that engages in:

• The production, exchange, and enjoyment of farm fresh agricultural products and artisanal goods.

• Educational workshops, cultural events, and intentional community living.

• Stewardship and sustainability of local resources.

3. Private Nature and Non-Statutory Status

3.1 Private Domain

The PMA operates exclusively in the private domain. All transactions, agreements, and activities are private and limited to members. The PMA is not a public business or entity.

3.2 Non-Commercial Use

Products, goods, and services provided through the PMA are for personal, non-commercial purposes only.

3.3 Member Acknowledgment

All members acknowledge that their participation is private and separate from any professional or governmental affiliations.

4. Governance and Structure

4.1 Trustee Authority

The Trustee governs the PMA with full authority over its operations. The Trustee may establish an Advisory Council to provide guidance and oversight for significant amendments or operational decisions.

4.2 Membership

Membership is open to individuals who meet eligibility criteria as outlined in the Private Membership and Herd Sharing Agreement.

5. Activities and Offerings

The PMA provides access to:

• Farm fresh agricultural products: Items grown, raised, or harvested directly from the farm and its partners.

• Artisanal goods: Handcrafted items such as soaps, candles, lotions, perfumes, and more.

• Educational workshops and cultural events.

6. Confidentiality and Breach Consequences

6.1 Confidentiality Obligation

Members agree to maintain the confidentiality of all private information, including operational details, member-only activities, and internal communications, as outlined in this Agreement.

6.2 Material Breach and Termination

A breach of confidentiality constitutes a material violation of this Agreement and automatically terminates all agreements between the member and the PMA. Upon termination:

• The member forfeits all rights, privileges, and access to PMA products, services, and events.

• The member agrees they will not retain, use, distribute, or disclose any PMA-provided materials, information, or proprietary knowledge in any manner.

6.3 Financial Responsibility

Member who breach of this agreement are financially responsible for all damages incurred by the PMA as a result of the breach, including but not limited to:

• Direct financial losses.

• Indirect damages (e.g., loss of reputation or future revenue).

• Costs associated with investigation, enforcement, or private resolution of the breach.

6.4 Injunctive Relief

The PMA reserves the right to seek injunctive relief or other equitable remedies to prevent further unauthorized use or disclosure of its private information. Members expressly agree to cooperate fully in ceasing any further activity related to the breach.

7. Indemnification

Members agree to indemnify, defend, and hold harmless Rosewood Farm & Fragrance Private Membership Association (PMA), its Trustee, Advisory Council, employees, agents, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• The member’s misuse of PMA products or services.

• Breach of this Agreement or violation of PMA policies by the member.

• Any act or omission by the member that causes harm to the PMA or other members.

8. Dispute Resolution

Any disputes arising from this agreement will be resolved through binding arbitration or mediation. Both parties agree to keep the resolution process private and efficient, avoiding public courts wherever possible.

9. Amendments

The Trustee may amend this Charter Agreement as needed. Significant changes will be posted on the PMA website, and members are responsible for checking the website for updates. A 10-day grace period is provided for members to terminate their membership if they disagree with the changes. Continued membership after this period constitutes acceptance of the amendments.

Private Membership and Herd Sharing Agreement

This Private Membership and Herd Sharing Agreement governs the relationship between the Rosewood Farm & Fragrance Private Membership Association (PMA) and its members. By agreeing to the terms below, you affirm your understanding and acceptance of the PMA’s membership terms and herd sharing program.

1. Membership Terms

1.1 Eligibility

Membership is open to individuals of good moral character, acting as private individuals, as outlined in the Charter Agreement.

1.2 Joining

To join, an individual must:

• Meet eligibility requirements.

• Sign this Agreement.

• Pay the applicable membership fee or subscription in a timely manner.

2. Member Benefits

2.1 Goods and Services

Members gain access to:

• Farm fresh agricultural products sourced directly from the farm and its trusted partners.

• Artisanal goods, such as specialty soaps, candles, lotions, perfumes, and other handcrafted products.

2.2 Events and Programs

Members may participate in private workshops, farm tours, and cultural events. Members may bring guests of good moral character.

3. Herd and Farm Sharing Terms

3.1 Ownership Rights

• Members participating in the Herd and Farm Share Program acquire a fractional ownership interest in the farm’s operations, including livestock, agricultural products, and goods.

• Participation in the Herd Share Program requires payment of an additional Herd Share Fee, optional for Member and communicated quarterly.

3.2 Distribution of Products

• Members participating in Herd Share receive a proportional share of farm outputs, including agricultural products and goods, based on ownership interest and availability.

• Distribution varies depending on seasonal and operational factors.

3.3 Private Transactions

All exchanges, trades, or distributions are private transactions limited to PMA members. Members assume full responsibility for the use of products after distribution.

4. Member Responsibilities

4.1 Conduct

Members must uphold the principles of respect, privacy, and mutual support.

4.2 Dues

Membership dues must be renewed annually. Failure to renew within 30 days of the renewal notice will result in forfeiture of locked-in rates.

4.3 Property and Restricted Areas

Members must respect PMA property and restricted areas. Accessing restricted areas without permission is a violation of this Agreement.

4.4 Product Use

Members are responsible for reading and adhering to product warning labels and using products for personal, non-commercial purposes only.

4.5 Workshops and Events

Workshops and events are for adults only, unless specifically labeled as family-friendly or pet-friendly events.

Rosewood Farm and Fragrance is a private member’s association located on a private family homestead.

We are delighted to welcome you to Rosewood Farm and Fragrance. To ensure the safety and enjoyment of all guests, as well as to preserve the serenity of the homestead, we kindly ask that you observe the following guidelines during your visit:

1. Respect Designated Areas: Please stay near the two-story silver barn and the fenced granite yard area when visiting. The barn, stables, family home, and other residences are private and should not be entered. Wandering elsewhere on the property requires explicit permission.

2. Respect the Land: We ask all guests to avoid littering and to honor the beauty and natural balance of the land.

3. Wild Stallions: Our wild stallions are magnificent but untamed creatures. For your safety, do not approach or touch them under any circumstances. They are unpredictable and may bite or injure anyone who gets too close.

4. Mindful Parking and Driveway Guidelines: When parking, please take care to avoid any milkweed plants, as we are committed to preserving them for the butterflies that call Rosewood home. Guests may park alongside the driveway but are kindly asked not to drive across the yard to protect the land.

5. Stay Aware of Nature: As we are nestled in the Texas Hill Country, we share this space with native wildlife, including snakes, ants, and other creatures. Please be mindful of your surroundings.

6. Interacting with Animals:

Goats: Under the supervision of your host, you may pet or feed the goats. This activity is strictly supervised to ensure the safety of both guests and animals.

Chickens: If you see the chickens, you are definitely in an area where you do not belong. Please return to the barn area as quickly as possible.

Ducks and Goldfish: Ducks are located in our garden, and you are welcome to interact with them with permission from your host. You may also enjoy observing the goldfish in their tranquil space, but please do not touch or disturb them.

Feral Cats: Our property is home to some domesticated as well as feral cats. These cats are not to be touched or handled, as they are wild and should be treated with care and respect. Any interaction with them requires expressed permission from the host.

7. Children’s Safety and Visiting Animals:

• For their safety, children are not permitted to roam freely on the property. The two-story barn and the surrounding areas, including the nests, are not child-friendly. However, during our French Market events, we provide designated children’s play areas with activities for little ones. Please note that most of our events are intended for guests 18 and older.

No Outside Animals: Do not bring your animals to the homestead without prior permission. We house several types of wild and domestic animals, and as a private space, it is not appropriate to arrive with your pet unannounced.

8. Private Capacity Only:

Only men and women acting only in a private individual capacity are allowed on the Private Homestead property. Guests may not act on behalf of any governing entity, group, or authority while on the premises.

Failure to respect and act in agreement of these guidelines will result in removal from the property.

At Rosewood, we value community, respect, and the intentional beauty of shared experiences. To ensure the best experience for all members, we have established the following guidelines for how we operate:

1. Respect for the Homestead Guidelines

Our homestead is a sacred space, and we ask all members to honor the guidelines in place. These ensure the safety, cleanliness, and positive atmosphere of the farm.

2. Scheduling Visits and Private Shopping Days

All visits must be scheduled in advance. To schedule a visit or private shopping day, text Dondi at 580-229-5806.

Private shopping days are preferred on Thursdays, though other days may be arranged with prior notice.

3. RSVP for Events and Activities

RSVP is required for all sample pick ups, events, classes, and activities to ensure proper preparation and a personalized experience for attendees.

For ticketed events, all attendees must check in upon arrival to confirm attendance.

RSVPing is the responsibility of the member, and unconfirmed attendance may result in loss of certain benefits or event participation.

4. Parking Guidelines

Parking is along the fence line to the northeast of the property.

Please be mindful not to block other cars.

5. Member Seasonal Pickup Day

• Members may pick up their free seasonal samples during designated Member Seasonal Pickup Days. These dates are opportunities to connect with the Rosewood community while enjoying seasonal events and activities.

March 15th & 16th ( A Garden Party)

July 21st ( A Midsummer Night)

October 11th ( Chai & Chapters)

December 6th ( 8th Annual Farm Shop)

If you cannot attend, you may request to have your samples mailed. A dedicated link will be provided for mailing requests.

6. Bringing Guests

When bringing guests to Rosewood, members are fully responsible for their behavior and actions.

Please ensure that your guests are individuals of good character and integrity, reflecting the values of Rosewood.

7. Signed Agreements

All members must have a signed PMA (Private Membership Association) and Charter Agreement on file before participating in any classes, activities, or member benefits.

8. Member Responsibility

Members are expected to uphold the values of respect, care, and integrity while engaging with Rosewood and its community.

This includes adhering to the farm’s guidelines, honoring scheduled commitments, and being a positive representative of Rosewood.

9. Mailing Requests

If you are unable to attend a Member Seasonal Pickup Day or live outside the Boerne area, you may request your samples and benefits to be mailed. A dedicated link will be provided for these requests.

10. Shop Discount Policy

Members receive 50% off all items in the shop.

This discount does not apply to custom orders, which are priced at full value ( with the exception of bulk ordering) .

11. Custom Orders

Rosewood offers custom orders for members who desire personalized fragrances, candles, or other products.

How to Place a Custom Order:

• Send a text to Dondi at 580-229-5806 to begin your custom order request.

• Provide a detailed description of your request, including scent preferences, product type, and any specific event or timeline.

• Custom orders under 25 units are retail price and require a consultation. Order over 25 units may qualify for wholesale. A quote and estimated production time will be provided.

• A deposit may be required to begin your order.

• Custom orders are subject to availability and the current production schedule.

12. Honor System for Checkout

• Rosewood operates on an honor system for self-checkout purchases.

• If you check out on your own:

• Take a clear photo of the items you are purchasing.

• Send the photo to Dondi, and you will receive an invoice for your purchase.
